1. Agreement to Terms

By accessing or using TideGrid (the "Service") at https://tidegrid.app, operated by Frontcube LLC ("Company," "we," "us," or "our"), you ("user," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

2. Description of Service

TideGrid is a hierarchical planning application that enables users to:

  • Plan across multiple time horizons (yearly, quarterly, monthly, weekly, and daily views)
  • Create and manage tasks with time blocking capabilities
  • Integrate with Google Calendar to view calendar events alongside tasks
  • Receive AI-powered scheduling suggestions
  • Set quarterly themes, monthly themes, and weekly focus areas
  • Mark important dates and events in yearly planning view

3. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

4.1 Account Creation

To use certain features of the Service, you must create an account by providing:

  • A valid email address
  • A secure password
  • Any additional information requested during registration

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account information.

4.3 Account Information

You agree to:

  • Provide accurate, current, and complete information during registration
  • Update your information promptly to keep it accurate and current
  • Not impersonate any person or entity
  • Not create multiple accounts for the same individual

4.4 Account Termination

You may terminate your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited conduct.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service for lawful personal or business planning purposes in accordance with these Terms.

5.2 Prohibited Conduct

You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Engage in fraudulent, abusive, or illegal activities
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service to transmit viruses, malware, or other harmful code

Content Prohibitions:

  • Upload, post, or transmit illegal, harmful, threatening, abusive, or offensive content
  • Harass, threaten, or harm other users
  • Impersonate others or misrepresent your affiliation with any person or entity
  • Collect or harvest user information without consent

Technical Prohibitions:

  • Reverse engineer, decompile, or disassemble the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Attempt to circumvent security measures or access controls
  • Overload or attempt to disable the Service through excessive requests
  • Resell, sublicense, or redistribute the Service without authorization

6. Google Calendar Integration

6.1 Authorization

By connecting your Google Calendar, you authorize TideGrid to access your calendar data on a read-only basis through Google's OAuth 2.0 protocol.

6.2 Limited Access

We only access calendar event information (title, start time, end time) for the purpose of displaying your schedule within the TideGrid interface. We do not:

  • Modify, delete, or create events in your calendar
  • Access calendars you have not explicitly connected
  • Share your calendar data with third parties

6.3 Revocation

You may revoke TideGrid's access to your Google Calendar at any time by:

  • Disconnecting the integration through your TideGrid account settings, or
  • Revoking access through your Google Account security settings

7. Intellectual Property Rights

7.1 Service Ownership

The Service, including all content, features, functionality, software, code, design, graphics, and user interface, is owned by Frontcube LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Content

You retain all ownership rights to the content you create in TideGrid (tasks, themes, notes, etc.). By using the Service, you grant us a limited, non-exclusive, royalty-free license to:

  • Store and process your content to provide the Service
  • Create backups for disaster recovery
  • Aggregate anonymized usage data for analytics and improvement purposes

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without compensation or attribution.

7.4 Trademarks

"TideGrid" and associated logos are trademarks of Frontcube LLC. You may not use our trademarks without prior written permission.

8. Payment Terms

8.1 Subscription Plans

TideGrid may offer free and paid subscription plans. Pricing, features, and availability are subject to change with reasonable notice.

Current pricing (subject to change):

  • Lifetime Deal: $99 (early bird) or $149 (standard)
  • Monthly Subscription: $37/month
  • Annual Subscription: $29/month (billed annually)

8.2 Payment Processing

Payments are processed through Stripe or other third-party payment processors. You agree to provide accurate payment information and authorize us to charge your payment method.

8.3 Billing Cycle

  • Monthly subscriptions: Billed monthly on the anniversary of your subscription date
  • Annual subscriptions: Billed annually on the anniversary of your subscription date
  • Lifetime deals: One-time payment with no recurring charges

8.4 Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You will be charged the then-current rate for your subscription tier.

8.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. No refunds are provided for partial billing periods except as required by law.

8.6 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes apply to new subscriptions and renewals after the notice period.

8.7 Refunds

Refunds are provided at our sole discretion and are typically limited to:

  • Technical issues that prevent use of the Service
  • Billing errors or unauthorized charges
  • Cancellations within 14 days of initial subscription (subject to usage limits)

Lifetime deal purchases are generally non-refundable after 30 days.

8.8 Taxes

Prices do not include applicable taxes. You are responsible for all sales, use, and excise taxes associated with your subscription.

9. AI Scheduling Features

9.1 Nature of AI Suggestions

TideGrid's AI scheduling feature provides suggestions for organizing your tasks based on available time and task properties. These suggestions are:

  • Automated recommendations, not guarantees
  • Based on algorithms and heuristics
  • Subject to errors or limitations

9.2 User Responsibility

You are solely responsible for:

  • Reviewing and accepting/rejecting AI suggestions
  • Ensuring your schedule meets your needs
  • Managing your time and commitments

We are not liable for missed appointments, scheduling conflicts, or other consequences arising from use of AI scheduling features.

10. Data and Privacy

10.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

10.2 Data Security

While we implement reasonable security measures, we cannot guarantee absolute security. You acknowledge that:

  • Internet transmission is never completely secure
  • We are not responsible for unauthorized access resulting from circumstances beyond our control
  • You use the Service at your own risk

10.3 Data Backup

You are responsible for maintaining your own backups of important data. We provide data export functionality for this purpose.

11. Third-Party Services

11.1 Google Services

The Service integrates with Google Calendar via Google APIs. Your use of Google services is subject to Google's Terms of Service and Privacy Policy.

11.2 Other Third-Party Services

We may integrate with other third-party services (analytics, payment processing, hosting). These integrations are subject to the respective third party's terms and policies.

11.3 Third-Party Content

We are not responsible for third-party websites, services, or content linked from the Service. Access to third-party resources is at your own risk.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability: The Service is suitable for general use
  • Fitness for a Particular Purpose: The Service meets your specific needs
  • Non-Infringement: The Service does not violate third-party rights
  • Accuracy: Information provided is complete or error-free
  • Availability: The Service will be uninterrupted or error-free

We do not warrant that:

  • The Service will meet your requirements or expectations
  • The Service will be available at all times without interruption
  • Defects will be corrected
  • The Service is free from viruses or harmful components

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

13.1 No Liability for Indirect Damages

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or goodwill
  • Service interruptions or delays
  • Costs of substitute services
  • Personal or emotional distress

13.2 Maximum Liability Cap

Our total liability to you for all claims arising from your use of the Service shall not exceed the greater of:

  • The amount you paid us in the 12 months preceding the claim, or
  • $100 USD

13.3 Applicability

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and whether or not we were advised of the possibility of such damages.

Some jurisdictions do not allow limitations on liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Frontcube LLC, TideGrid, and their respective officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations
  • Content you submit or transmit through the Service
  • Your breach of any representations or warranties

15. Dispute Resolution

15.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at `support [at] tidegrid [dot] app` to attempt to resolve the issue informally. We will attempt to resolve the dispute within 30 days.

15.2 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.3 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY – IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes that qualify for small claims court or injunctive relief, you agree that any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Key Terms:

  • Arbitration is conducted by a single neutral arbitrator
  • Arbitration takes place in Delaware or another mutually agreed location
  • Each party bears its own costs and attorneys' fees (unless applicable law requires otherwise)
  • The arbitrator's decision is final and binding
  • You waive your right to a jury trial

15.4 Class Action Waiver

YOU AND FRONTCUBE LLC AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. You waive any right to bring claims as a class action, collective action, or representative action.

15.5 Exceptions to Arbitration

The following disputes are excluded from arbitration and may be brought in court:

  • Small claims court disputes (under $10,000)
  • Claims for injunctive relief to protect intellectual property
  • Claims related to data breach or privacy violations (subject to your choice)

15.6 Opt-Out of Arbitration

You may opt out of the arbitration agreement by sending written notice to support[at]tidegrid[dot]app within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

16. Termination

16.1 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in your account settings, or
  • Contacting us at support[at]tidegrid[dot]app

16.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • Your account is inactive for more than 24 months
  • Required by law or legal process
  • Necessary to protect our rights or the rights of others

16.3 Effect of Termination

Upon termination:

  • Your right to access the Service immediately ceases
  • We may delete your account data after a 30-day grace period
  • You remain liable for any outstanding fees or obligations
  • Provisions that should survive termination (limitations of liability, indemnification, dispute resolution) remain in effect

16.4 No Refunds on Termination

If we terminate your account for cause (violation of Terms), you are not entitled to a refund of any subscription fees.

17. Export Control

You may not use, export, or re-export the Service except as authorized by United States law and the laws of the jurisdiction in which you access the Service. You represent that you are not:

  • Located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country
  • Listed on any U.S. government list of prohibited or restricted parties

18. Modifications to the Service

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Service at any time
  • Change features, functionality, or availability without notice
  • Impose limits on certain features or restrict access to parts of the Service

We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

19. Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to:

  • Acts of God (natural disasters, pandemics)
  • War, terrorism, or civil unrest
  • Labor disputes or strikes
  • Internet or telecommunications failures
  • Government actions or regulations
  • Failures by third-party service providers

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

21. Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. No waiver of any provision shall be effective unless made in writing and signed by us.

22. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented during use of specific features, constitute the entire agreement between you and Frontcube LLC regarding the Service and supersede all prior agreements and understandings.

23. Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

24. Notice to California Users

Under California Civil Code Section 1789.3, California users are entitled to the following specific consumer rights notice:

These Terms are written in English. Any translations are provided for convenience only. In case of conflict between the English version and a translation, the English version shall prevail.
